Terms of Service — Twomiah Ads

These Terms of Service ("Terms") govern your use of Twomiah Ads (the "Service"), operated by Twomiah Software Ventures ("Twomiah," "we," "us," or "our"). By using the Service, you agree to these Terms.

1. Service Description

Twomiah Ads is an AI-powered advertising management platform. Twomiah acts as your agency of record for Google Ads and operates campaigns on your behalf through a Google Ads manager account ("MCC").

We:

• Create and manage a dedicated Google Ads account for you under our MCC
• Generate ad creative and keywords using AI tools
• Launch, optimize, and manage campaigns based on your inputs and configured budgets

You do not connect your own Google Ads account.

2. Agency Authorization

You authorize Twomiah to act as your agent solely for the purpose of operating Google Ads campaigns, including to:

• Create and manage a Google Ads account on your behalf
• Create, modify, pause, or delete campaigns and related assets
• Access and process campaign performance data
• Communicate with Google on your behalf regarding account status and policy compliance

Twomiah retains full operational control over accounts created under its MCC.

3. Account Structure and Platform Dependency

Your campaigns are operated within a Google Ads account owned and controlled by Twomiah.

• Campaign objects, optimization history, and platform-specific data may not be transferable to another Google Ads account
• Google may suspend or restrict accounts at its discretion
• Twomiah may pause or terminate campaigns to comply with platform policies or protect system integrity

Twomiah is not responsible for actions taken by Google or other third-party platforms.

4. Prepaid Billing and Fees

• You must pre-fund your advertising balance via Stripe before campaigns run
• Ad spend is deducted based on reported platform usage
• Twomiah charges a management fee and/or markup disclosed at signup

Refunds

Upon termination:

• Remaining prepaid balance is refundable
• Less: (a) earned fees, and (b) ad spend already incurred or irrevocably committed
• Refunds are processed within a reasonable timeframe

All fees are non-refundable unless otherwise stated.

5. Your Responsibilities

You represent and warrant that:

• You have authority to advertise the business and services provided
• Your ads, products, and services comply with applicable laws and platform policies
• All information provided is accurate and kept up to date

You are solely responsible for:

• The legality of your advertising content
• Claims made in your ads
• Compliance with industry-specific regulations (e.g., financial, healthcare, local licensing)

6. Prohibited Use

You may not use the Service to promote:

• Illegal products or services
• Deceptive or misleading content
• Infringing or unauthorized intellectual property
• Content that violates Google Ads policies

Twomiah may remove or suspend any campaigns at its sole discretion.

7. Data Ownership and Portability

You retain ownership of:

• Ad creative generated for your campaigns
• Historical performance data

You may export this data at any time.

However:

• The underlying Google Ads account and campaign objects remain under Twomiah's control
• Transfer of campaigns to another account is not guaranteed

8. Indemnification

You agree to indemnify, defend, and hold harmless Twomiah, its affiliates, and personnel from any claims, damages, liabilities, or expenses arising from:

• Your business, products, or services
• Your advertising content
• Your violation of laws or platform policies
• Any infringement of intellectual property rights

9. Limitation of Liability

To the maximum extent permitted by law:

• Twomiah is not liable for indirect, incidental, consequential, or special damages, including lost revenue, profits, or advertising performance
• Twomiah's total liability will not exceed the total fees paid by you to Twomiah in the 12 months preceding the claim

The Service is provided "as is" without warranties of any kind.

10. Service Availability

Twomiah does not guarantee uninterrupted or error-free operation of the Service.

We may modify, suspend, or discontinue the Service at any time.

11. Termination

Either party may terminate at any time.

Upon termination:

• Campaigns will be paused
• Data export will be available upon request
• Refunds processed per Section 4
• Data handled per the Privacy Policy

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles.

Any dispute arising out of these Terms shall be resolved by binding arbitration in Wisconsin, except that either party may seek injunctive relief in court for intellectual property or misuse claims.

You agree to waive any right to participate in class actions.

13. Changes

We may update these Terms from time to time. Material changes will be communicated at least 14 days in advance.

Continued use of the Service constitutes acceptance.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement
• Severability: If any provision is invalid, the remainder remains in effect
• No Waiver: Failure to enforce any provision is not a waiver
